TERMS OF SERVICE

These Terms of Service ("Terms") govern the relationship between Market It Single Member P.C., a company organized under the laws of Greece, with its registered address at Odyssea Androutsou 6, Thessaloniki, Greece 54643, VAT: EL801503402 ("Market It," "we," "us," or "our"), and you ("you" or "Client") in connection with the provision of digital marketing services (the "Services").
By accessing, engaging, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Scope of the Terms
These Terms govern the legal relationship between Market It and you during the provision of the Services. Any additional agreements, proposals, statements of work, or written arrangements agreed upon between you and Market It shall be deemed incorporated into and governed by these Terms, unless expressly stated otherwise in writing.
2. Services
Market It provides digital marketing services, which may include, but are not limited to, marketing strategy, advertising, media buying, content creation, analytics, and related consulting services. The specific scope, duration, and deliverables of the Services may be agreed upon separately between you and Market It.
3. Governing Law
These Terms, and any dispute, claim, or controversy arising out of or relating to the relationship between Market It and you or the provision of the Services, shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of laws principles.
4. Jurisdiction and Venue
You agree that all disputes, claims, or legal proceedings arising out of or relating to these Terms, the Services, or the relationship between Market It and you shall be brought exclusively in:
(i) the state courts located in Los Angeles County, California, or
(ii) the United States District Court for the Central District of California.
You hereby irrevocably submit to the personal jurisdiction and venue of such courts.
5. Payment Terms
Unless otherwise agreed in writing, all fees for the Services are due and payable in accordance with the payment schedule outlined in the applicable proposal or statement of work. All prices are exclusive of VAT, which will be applied in accordance with Greek and EU tax regulations.
6. Intellectual Property
All intellectual property rights in materials created by Market It in connection with the Services shall remain the property of Market It until full payment has been received. Upon receipt of full payment, Market It grants the Client a non-exclusive license to use the deliverables for the purposes outlined in the applicable agreement.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed in connection with the Services and not to disclose such information to third parties without prior written consent, except as required by law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Market It shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Services. Market It's total liability shall not exceed the total fees paid by the Client in the three (3) months preceding the event giving rise to the claim.
9. Termination
Either party may terminate the Services upon thirty (30) days written notice. Upon termination, the Client shall pay for all Services rendered up to the date of termination. Market It reserves the right to terminate immediately in cases of non-payment or material breach of these Terms.
10. Data Protection
Market It processes personal data in accordance with the General Data Protection Regulation (GDPR) (EU) 2016/679 and applicable Greek data protection legislation. For more information on how we handle personal data, please refer to our Privacy Policy.
11. Amendments
Market It reserves the right to modify these Terms at any time. Clients will be notified of material changes. Continued use of the Services after such notification constitutes acceptance of the updated Terms.
